The Standing Committees of the Association shall be: 1. Executive Committee 2. Governmental Relations 3. Budget and Auditing Committee 4. Membership Committee 5. Convention Committee 6. Nominating Committee ARTICLE IX — ELECTIONS Section 1. Election of Directors shall be held annually on a day designated by the Chairman of the Board. See Article V, Section 4. ARTICLE X — GOVERNMENT Section 1. The Association shall be governed by parliamentary law as set forth in “Robert’s Rules of Order” as long as it does not conflict with the By-Laws of the Association. ARTICLE XI — INDEMNITY Section 1. Any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit, or proceeding, whether civil, criminal, administrative, or investigative (including any action by or in the right of the Corporation) by reason of the fact that he/she is or was a Director, Officer, trustee, employee or agent of the Corporation or is or was serving at the request of the Corporation as a Director, Officer, employee or agent of another Corporation, partnership, joint venture, trust or other enterprise shall be indemnified by the Corporation against expenses (including reasonable attorney’s fees), judgments, fines and amounts paid in settlement actually and reasonably occurred by him in connection with such action, suit or proceeding, had no reasonable cause to believe his/her conduct was provided by, the Georgia Corporation Code. ARTICLE XII — AMENDMENTS Section 1. The By-Laws of the Association may be amended, abridged or changed by a majority vote of the Board of Directors, provided however that the substance of the proposed amendment, abridgment or change be incorporated in the call for the regular or special meeting.
