6 JANUARY / FEBRUARY 2022 Greetings, and welcome to 2022, the 125th anniversary year of the Indiana Bankers Association. I hope that your holidays were joyful and you are now relaxed and ready to travel through a new year. As a road map for this year and beyond, the IBA will soon be unveiling a new strategic plan. Chairman Kleer addresses the strategic planning process in his column on the facing page. I’d like to add that our most recent strategic plan, 2018-2020, was highly ambitious, consisting of five pillars: tell the story, fiscal strength, education, government relations and next-gen bankers. We tackled each goal within the pillars through measurable, accountable action steps, lifting the IBA to new levels. Now it’s time again to prepare for the future with a strategic plan to advance to even higher levels. Last fall, the IBA management team had the opportunity to work alongside our Board of Directors at a retreat to start the brainstorming process. Also last fall, the IBA closed out the year by resuming our popular Indiana Economic Outlook Luncheon. The event, held on Dec. 3, drew an audience of 200 attendees, including some Indiana legislators. Thank you to all who participated. On the evening before the luncheon, IBA staff attended an awards gala hosted by the Indiana Society of Association Executives, which annually recognizes trade associations throughout the state for their achievements. The IBA won two awards. VANTAGE VIEWPOINT Don’t Miss Out! The first was the Innovative Marketing Campaign award for our IMPACT Players Program (Industry Makers Pledging Assistance, Cooperation & Togetherness), which helped IBA throughout the pandemic closure while also helping associate members remain connected with bankers. Kudos to IBA’s Rod Lasley and Susan Clark for their success with this program. Also, congratulations to Rod for being named recipient of the prestigious ISAE Association Professional of the Year award. Rod is well deserving of this honor in recognition of his talent, work ethic and dedication to members. Now as we begin this new year, we are eager to host our Legislative Briefing and Reception, scheduled for Jan. 26. This annual event begins with a briefing covering industry-related legislative issues, followed by a reception with elected officials. We hope you will attend. Additionally, coming up shortly are opportunities for emerging bank leaders. First, the Future Leadership Division Day at the Statehouse in February will give up-and-coming leaders the chance to learn about and actively engage in advocacy. Second, the acclaimed IBA Leadership Development Program begins its intensive, eight-month training in March. Space is limited, so be sure to act quickly to identify your best and brightest for this program. Hoosier Banker 7 IBA Quasquicentennial Celebrating 125 Years Learn more at ndiana.bank/history #IBA125Years Thank you for the honor of chairing the Indiana Bankers Association. This year is significant for the IBA, as well as for the bank that I serve, because it marks the 125th anniversary of the IBA and the 135th anniversary of First Bank Richmond. It is no accident when an organization thrives for well over a century. This longevity is the result of careful planning, prudent practices and stellar service. First Bank Richmond aims high on all those fronts, and so does the IBA. To help ensure IBA succeeds well into the future, last November current and incoming board members met with the IBA management team for a two-day strategic planning retreat. Our time together was fruitful, closing out with an array of concepts to be shaped into an upcoming strategic plan. One theme that came up repeatedly during planning was that of member engagement. As a member-driven organization, the more the IBA can engage members, the more valuable the Association becomes to its membership in all of its sectors. In the area of advocacy, member engagement is essential. We are fortunate to have a powerhouse Government Relations Team at the IBA, and messaging is even more impactful when combined with robust grassroots outreach. Legislators respect the information they receive from IBA staff on industry issues, and they especially appreciate hearing directly from constituents. In the educational arena, member engagement likewise is crucial. When we attend conferences, seminars, classroom opportunities and other learning events, we gain more than the knowledge shared by speakers, teachers and presenters. Additionally, we learn from each other, and in the process build our network of banking peers. For IBA communications, engagement from members makes communications a two-way street. Hoosier Banker benefits from the news releases that member banks send in about promotions, new hires, etc. Your input also helps tell the story about banking, for example by nominating your community service for an IBA Commitment to Community (C2C) award, or by submitting bank histories to help celebrate the Association’s 125th anniversary. Regarding products and services, banker engagement with IBA’s Preferred Service Providers and other associate members solidifies relationships with these companies that can help us better serve our customers and communities. Associate members also provide immense support to the IBA through sponsorships, advertising and trade show exhibits. Finally, the IBA has a strong “next-gen bankers” focus to help attract and retain top talent. Engaging with the Future Leadership Division, Leadership Development Program, BankLEAD Internship Program and other next-gen opportunities can help grow your bank’s future. In this anniversary year, please consider how you and your organization can increase engagement with the IBA’s many offerings. Kleer was officially elected 2022 chairman of the Indiana Bankers Association Board of Directors at the Annual Convention in French Lick on Aug. 16, succeeding Michael S. Zahn. He assumed duties as chairman on Jan. 1 of this year. Kleer is chairman, president and CEO of First Bank Richmond. He also is chairman, president and CEO of Richmond Mutual Bancorporation. He joined the bank in 1994 as vice president of commercial lending and was promoted in 2001 to president and CEO. Before joining First Bank Richmond, Kleer worked for Bank One, NA, in Richmond, Indiana. Active in the community, Kleer’s involvement includes service on the boards of the Boys & Girls Clubs of Wayne County, Reid Health Foundation, Richmond Symphony Orchestra and Wayne County Foundation. He has been recognized with the Indiana University East Chancellor’s Medallion, Junior Achievement Business Hall of Fame, Richmond/Wayne County Distinguished Community Leader, and Boys & Girls Clubs Man and Youth Award. In 2020, Kleer was awarded the Indiana University Bicentennial Medal for distinguished service. Previously, Kleer served the IBA as first vice chairman, second vice chairman and northeast region director. He has also served as an IBA committee member and as a legislative contact. He is currently a member of the Large Community Bank Council of the Independent Community Bankers of America. Kleer is a graduate of Indiana University, the Graduate School of Commercial Lending and the Stonier Graduate School of Banking. Hoosier Banker interviewed Kleer in the fall about his upcoming term as chairman. What are your goals as IBA chairman in 2022, especially as we’re emerging from a pandemic? “My primary goal is to make sure that our member banks and associate members know how important they are to our Association. They are why we exist. “I want them to be assured that the IBA is addressing the important legislative issues and meeting their educational needs to give them value. The IBA has done an excellent job of that in the past, and I want to reinforce that during my bank visits.” The IBA is celebrating its 125-year anniversary in 2022, and First Bank Richmond has been in operation for 135 years. What does it mean to you to lead these two longstanding institutions? “First Bank is celebrating its 135th anniversary in 2022. We have a rich history in Wayne County and have carried on that history as we have expanded to Shelby County in Indiana; to Shelby and Miami counties in Ohio; and to Columbus, Ohio. Our history is rich in tradition and leadership. The past chairs have been some of the most influential leaders in Indiana banking – that doesn’t happen by accident. Bankers in Indiana recognize the value of IBA membership. “Certainly, the pandemic of 2020 and 2021 has shown the value of our Association. It is an honor to lead both organizations during their anniversary years.” What was a pivotal moment in your career? “I came to First Bank in 1994 because I saw an opportunity to make a difference, an opportunity to service customers at a higher level and an opportunity to support community organizations more fully. I have been able to accomplish all of these goals.” What do you most enjoy about banking? “I enjoy helping customers achieve their goals. When a customer comes into the bank, they are looking to accomplish something. My goal is to help them find the best way to do that. “It has been a rewarding career. As community bankers can attest, it is not an 8-to-5 job. You talk with customers after hours, close loans and open accounts at their convenience, which doesn’t always fall during normal working hours. “I have never felt like I was being interrupted by taking care of someone outside normal working hours. I enjoy providing value to relationships.”

12 JANUARY / FEBRUARY 2022 Reflecting on your career, what accomplishments are you most proud of? “When I look at the employees of First Bank that I have the privilege to lead and see how they have grown in their jobs and have taken First Bank to another level, I take pride in knowing that I have had a part in creating a workplace that encourages the employees to volunteer in the community and gives them the time to do that. “Our employees have embraced our tagline ‘doing great things together,’ both for customers and not-for-profit partners. It is a fun and satisfying place to work.” Please share a bit about your family/home life. “My wife Cheryl is a retired registered nurse. The event, held Nov. 3-4 at the Sheraton Indianapolis Hotel at Keystone Crossing, surpassed prior-year attendance, with 338 women coming together for professional development, networking and inspiration. Attendees gathered mid-day on Tuesday, Nov. 3, for registration, then delved into an afternoon packed with powerhouse presentations. Michael Zahn, 2021 IBA chairman, and president and CEO of First Federal Savings Bank, Huntington, welcomed guests and offered opening remarks. Kristin Pruitt, chair of the conference planning committee and executive vice president and chief administrative officer at Lake City Bank, Warsaw, also welcomed guests and offered remarks on the uplifting spirit of the Banking on Women Conference. Afternoon sessions began with a presentation by the conference emcee Patty Hendrickson. In her presentation, “Getting Beyond Busy – Engaging Your Phenomenal Self and Those You Impact,” she interacted with the audience to showcase for attendees their phenomenal selves and their phenomenal impact on others. Ensuing presentations were “Diversity, Inclusion, and Hidden Bias,” presented by JoDee Curtis, Purple Ink LLC, and “Rock Your Life,” presented by Melanie Spring, Melanie Spring Productions. Tuesday rounded out with a lively reception featuring interactive food and beverage stations. Throughout the reception, attendees visited with service providers in the IBA exhibit area. New this year to the exhibit area was the IBA Future Leadership Division wine pull benefiting the IBA BANKPAC. Back by popular demand was the availability of a professional photographer, sponsored by K4 Architecture + Design. Stephanie Nicole Photography provided stunning headshots for attendees to update their social media brand and workplace websites. Another addition to the exhibit area was a fun photo booth sponsored by IT Resource Inc. Filled with silly hats, feather boas and humorous catch phrases, the booth provided a lighthearted means to bond with fellow bankers. The reception also gave guests an opportunity to bid on a treasure trove of items at a silent auction benefiting Ascent 121, a faith-based agency that provides longterm trauma recovery services for teen survivors of sex trafficking, along with an entire continuum of care. Named after Psalm 121, Ascent 121 has served over 200 survivors in Indiana since its establishment in 2013. After the reception, fellowship extended into the evening, as attendees sampled a variety of dine-arounds at local restaurants, where each attendee enjoyed a fine meal and the good company of other attendees from the conference. Wednesday, Nov. 4, began bright and early with a continental breakfast in the exhibit area, after which commenced a full day of learning, networking, engaging, connecting and empowering. Presentations included “Your Time to Rise: Leadership in the Unknown,” presented by Lindsay Boccardo, Lindsay Boccardo Training & Coaching; “The Silent Language of Leaders – The Power of Non-Verbal Communication,” by Linda Clemons, Sisterpreneur Inc.; and “Storytelling: The New Workplace Competency,” by JoDee Curtis, Purple Ink LLC. Wednesday’s luncheon also provided a new element to the conference – a panel discussion moderated by Amber Van Til, IBA president and CEO. The panel of female leaders, from varying communities and bank sizes, shared their stories of leadership from a woman’s perspective. The phenomenal panelists included: Lisa Arnold, president and CEO of Home Bank, Martinsville; Karen Gregerson, president and CEO of The Farmers Bank, Frankfort, and IBA’s 2020 Woman of the Year; Cindy L. 18 JANUARY / FEBRUARY 2022 GR SUMMIT Indiana’s 2022 General Assembly legislative session is underway. After almost two years of adjustments to the legislative process to mitigate the risk of COVID-19, this year’s session is expected to be back to business as usual. The pandemic will still have a broad impact on policy as bills are expected on a variety of issues related to the pandemic. The process, however, should appear normal to those who were present for legislative sessions pre-pandemic. As it is every other year, this year’s session is considered a “short session” due to the length of time scheduled for lawmakers to meet. The 2022 session started Jan. 4 and is currently scheduled to end on March 14. The short time period leaves both chambers with just under a month to hold initial committee hearings and, during the second month of session, to pass legislative priorities for further consideration. While a month may seem like plenty of time in many circumstances, it can be lightning quick when working out wrinkles related to policy. As is the case for every short session, committees must prioritize legislative initiatives based on the compressed calendar and manage the limited time effectively. This can be an impediment to those seeking passage of legislation, and a benefit to those fighting against complex or controversial bills. The legislative agenda for the Indiana Bankers Association includes several items of importance, taking into account the short session timeframe. First, we will be advocating for legislation that assists banks with the transition from LIBOR (London Interbank Offered Rate) to SOFR (Secured Overnight Funding Rate). New York was the first state to enact language that applied SOFR as a default rate to existing financial instruments that used LIBOR. With the use of LIBOR ending in 2023, it is imperative that that an alternative rate be referenced for existing contracts that relied on LIBOR. The legislation the IBA is advocating for would do so and also replace LIBOR with SOFR. In addition to the LIBOR transition fix, the IBA is advocating for several changes to Indiana statute to allow for recent Office of the Comptroller of the Currency rules to apply to state-chartered institutions, without having to seek the parity approval of the Indiana Department of Financial Institutions on a caseby-case basis. The OCC rules needing codification into statute apply to tax equity financing entities, community and economic development entities, community development projects and other public welfare investments. The IBA will also be addressing several issues related to the electronic lien and title legislation from last session, a Uniform Commercial Code issue that requires clarification, and several tax issues that may arise over the course of session in the coming two months. Among the issues that could arise this year are: % Legislation implementing a sales tax on services that apply to financial institution. % Legislation that would force banks to lend to certain industries based on the misguided view that banks are refusing business based on concerns unrelated to credit. This type of legislation, under the guise of fair access, has been trending in other states. % Changes to interchange fees. These potential issues are only a few that the IBA will be monitoring. Others include consumer credit changes, workforce or affordable housing development incentives, and changes to lien priority. The IBA Government Relations Team will be engaged in all the aforementioned issues and others that will arise over the course of session. Acting as the governing body of the IBA, the board consists of 17 members: three elected officers, one past chairman, the Association president/ CEO, two representatives of national associations, the Future Leadership Division president, a non-Indiana headquartered bank director, and eight regional and at-large directors. The functions of the board are to develop IBA policy and to establish long-range goals and objectives. The board also helps determine the IBA’s legislative programs and positions on banking-related issues. The IBA board acts with the same authority as the board of a bank or a corporation. An executive committee – consisting of the chairman, first and second vice chairmen, immediate past chairman, Association president/CEO and two appointed directors – is authorized to act in lieu of the board between regular board meetings. Officers serve one-year terms and are elected by the membership at the IBA Annual Convention. Members of the 2022 board assumed positions on Jan. 1. Garry Kleer Garry D. Kleer, IBA chairman, is chairman, president and CEO of First Bank Richmond. He also is chairman, president and CEO of Richmond Mutual Bancorporation. Kleer joined the bank in 1994 as vice president of commercial lending and was promoted in 2001 to president and CEO. His community involvement includes service on the boards of the Boys & Girls Clubs of Wayne County, Reid Health Foundation, Richmond Symphony Orchestra and Wayne County Foundation. He has been recognized with the Indiana University East Chancellor’s Medallion, Junior Achievement Business Hall of Fame, Richmond/Wayne County Distinguished Community Leader, and Boys & Girls Clubs Man and Youth Award. In 2020, he was awarded the Indiana University Bicentennial Medal for distinguished service, and he currently is a member of the Large Community Bank Council of the Independent Community Bankers of America. Shinabarger, first vice chairman, is president, CEO and director of Springs Valley Bank & Trust Company as well as the parent company, SVB&T Corporation, Jasper. He has 40 years of financial services experience serving with three financial institutions. Before joining the bank in 2008, Shinabarger was president and CEO of Hicksville Building, Loan & Savings Bank in Ohio, where he served from 1986 to 2007.
